1. Definitions
“Root Digital”, “we”, “us”, “our” refers to Root Digital (Pty) Ltd.
“Client”, “you”, “your” refers to the subscribing party.
“Subscription” refers to the monthly or annual service plan.
“Website” refers to the digital property built and managed by Root Digital on behalf of the client.
2. Subscription Plans and Pricing
Root Digital offers the following web and ecommerce subscription plans:

Annual plans represent a saving of 2 (two) months compared to monthly billing. Prices are inclusive of VAT where applicable.
3. Minimum Contract Period
Monthly subscribers are subject to a minimum contract period of 6 (six) months from the date of first payment. After the minimum period, the subscription becomes month-to-month and may be cancelled with 30 days’ written notice.
Annual subscribers are committed for 12 months from the date of first payment. No refunds are issued for early cancellation of annual plans.
4. Payment Terms
All payments are processed securely via Paystack.
Monthly subscriptions are billed on the same date each month.
Annual subscriptions are billed in full upfront.
Failed payments will result in a 7-day grace period before the website is suspended.
Root Digital reserves the right to suspend or terminate services for non-payment.
5. Domain Ownership Policy
The domain name registered as part of the client’s subscription (the “.co.za domain”) is registered in the name of Root Digital and remains the property of Root Digital for the duration of the subscription.
Domain transfer to the client will occur under either of the following conditions:
a) The client has maintained an active, paid subscription for a continuous period of 24 (twenty-four) months, after which the domain may be transferred to the client at no additional cost upon written request.
b) The client elects to purchase the domain outright via the website buyout option prior to 24 months.

Upon cancellation before 24 months without a buyout, the domain remains with Root Digital and will not be transferred to the client or any third party.
Root Digital will not hold the domain hostage or use it for any other purpose during or after the client’s subscription.
6. Domain Type Policy
All subscription plans include one (1) .co.za domain registration at no additional cost.
.com, .net, .org, .co, or any other domain extension is not included in the subscription price.
Clients requiring a .com or alternative domain extension will be quoted separately — the standard additional cost is R250 per year for a .com domain.
If a client already owns a domain they wish to use, Root Digital will connect it to their website at no additional cost, however the domain registration and renewal remains the client’s responsibility.
7. Website Ownership and Intellectual Property
The website design, code, and all digital assets created by Root Digital remain the intellectual property of Root Digital for the duration of the subscription.
Upon cancellation, the client does not retain rights to the website design or files unless a website buyout has been completed.

Upon completion of a website buyout, Root Digital will provide all source files, database exports, and transfer the domain within 7 business days.
8. Scope of Service
Each plan includes the features as listed on the Root Digital pricing page at rootdigital.co.za/pricing.
Content updates included in applicable plans are limited to 1 (one) update session per calendar month.
Additional update sessions are billed at R250 per session.
Design changes that fall outside the original agreed scope will be quoted separately.
Ecommerce product loading is limited to the number specified in the chosen plan. Additional products are billed at R150 per 10 products.
9. Client Responsibilities
The client is responsible for providing accurate business information, content, and media within 14 days of subscription commencement.
Delays caused by the client’s failure to provide required content will not be counted against Root Digital’s delivery timeline.
The client warrants that all content provided (text, images, logos) does not infringe any third-party intellectual property rights.
10. Service Levels and Uptime
Root Digital targets 99.9% website uptime.
Scheduled maintenance will be communicated 24 hours in advance where possible.
Root Digital is not liable for downtime caused by third-party hosting infrastructure, domain registrar issues, or force majeure events.
11. Limitation of Liability
Root Digital’s total liability to the client shall not exceed the total subscription fees paid in the preceding 3 months.
Root Digital is not liable for any indirect, consequential, or loss of business damages.
12. Governing Law
These Terms are governed by the laws of the Republic of South Africa.
Any disputes shall be subject to the jurisdiction of the South African courts.
13. Amendments
Root Digital reserves the right to amend these Terms at any time with 30 days’ written notice to active subscribers.
Continued use of the service after the notice period constitutes acceptance of the updated Terms.
